When preparing Confidentiality Agreements (also known as Non-Disclosure Agreements), thinking through the issue of how-long the particular information being disclosed will be protected will be important. In this Segment of Spot The IssuesSM, the appropriate length of protection for the information, exclusions from protections and the concept of “staleness” are discussed. Please note that attorneys and accountants do not generally sign separate Confidentiality Agreements because their engagement letters often have provisions regarding their ethical obligations to keep a client’s information confidential.
Remain Silent: Do NOT Talk To The Police Without A Lawyer:Everyone knows from watching crime-dramas on television that a person suspected of, or charged with, a crime can get into a lot of hot water when talking to the Police or the District Attorney without the benefit of legal representation. In this segment of Spot The IssuesSM, why it is important for a suspect or accused to wait to speak with the Police or the District Attorney until he or she has had the opportunity to speak with a lawyer and decide whether or not to make a statement is discussed, along with the constitutional “right to remain silent,” the content and purpose of the Miranda warnings and how even an exculpatory statement may be ill-advised.
